The thesis deals with the consequences of errors in the conclusion of legal transactions without authorisation. It not only examines whether sec. 112 of the Stock Corporation Act (AktG) is a prohibition or a restriction on the power to organise and dispose, but also analyses the granting of permission in the light of behavioral economics findings on supervisory board behavior.
